AI Production Terms

1. Our agreement

Labona Studio is a trading name of Labona Oy, Business ID 3092118-5, Finland ("we", "us" or "Labona"). "You" means the business customer requesting a sample or ordering work. The person accepting these terms must be authorised to act for that business. Our services are offered for business purposes.

These terms apply when you expressly accept them through our form or in writing, including by email. A sample or enquiry request is not a paid order. Paid work starts only after both parties agree the written proposal or order confirmation, including scope, price, payment milestones and schedule.

The accepted project proposal and any expressly agreed confidentiality or no-training arrangement take precedence over these standard terms. These terms do not retrospectively expand earlier permissions or override an existing agreement. The version accepted for a project continues to apply to that project; a later website update does not change it automatically.

2. Your materials and permission

You retain your rights in your product photographs, designs, logos, text and other materials. Before production, we identify the materials you approve for use. Sending a public product-page link for an enquiry does not by itself establish ownership or authorise every image on that page.

You confirm that you have the rights and authority to permit the agreed production and the AI-provider uses in section 3. This includes any necessary rights in the photographs and the depicted product designs, and permission to grant the required licences to providers. If a photographer, designer or other rights holder has imposed a restriction, tell us before approving the material.

You grant us a non-exclusive, worldwide, royalty-free licence to copy, edit, adapt and process approved materials to create and deliver the agreed sample or paid film, and to grant our production providers the permissions described in section 3. No transfer of ownership of your original materials is intended. We may not sell your materials as a standalone dataset or use them for an unrelated client project.

3. AI processing and model training

We use third-party AI services for generation and production. These services may use their own models or models operated by other providers. We select the production tools, services and models and may change them, provided the processing remains within the permissions and restrictions agreed for your project. Unless required by law or expressly agreed in writing, we do not disclose our production tools, providers or workflow.

Unless we agree otherwise in writing before processing, you expressly authorise those services and their relevant model providers and affiliates to use the approved inputs and generated outputs to train, develop and improve their AI models and related technology. You authorise us to grant the licences necessary for those uses and for operating, maintaining and securing the production services, including copying, processing and adapting the materials. This permission applies to both free samples and paid productions.

Actual processing and retention depend on the services, models, access routes and settings used. Permission for training does not mean every provider or request will use your material for training. We are responsible for selecting services whose requirements are compatible with the permissions and restrictions agreed for your project.

We do not provide a standard no-training or zero-retention guarantee. If you need one, we must agree it expressly and confirm a suitable processing arrangement before any upload. An enquiry about special terms does not create that arrangement. If a provider's requirements would materially expand the uses authorised here, we will obtain your further agreement before using that route.

This permission concerns the production services' own model development. It does not give Labona a general right to train models for unrelated customers, and it does not give us permission to publish your materials or film for publicity. Personal-data requirements are separate, as described below.

4. Confidential and personal material

Do not send trade secrets, unreleased products, embargoed material or material subject to an NDA or licence that conflicts with section 3 unless we have first agreed appropriate handling in writing. Marking a file confidential does not establish a no-training arrangement.

We limit our use and sharing of non-public project information to the agreed production, authorised AI processing, necessary professional advisers and disclosures required by law. This does not turn a standard AI-provider account into a confidential processing service. Where stricter confidentiality is required, we agree the provider restrictions first.

Do not include identifiable people, personal data or sensitive information in production assets or prompts without our prior written agreement. Business acceptance of these terms is not consent on behalf of a person depicted and is not a substitute for a lawful basis, notices, releases, processing agreements or transfer safeguards required by data-protection law. See our Privacy Policy for contact and enquiry data.

5. Free samples

Free samples are subject to product fit and capacity. Unless we agree otherwise, we provide one short, watermarked sample per brand for private evaluation, with timing confirmed by email. Revision rounds are not included.

You may share the sample internally with the people evaluating the proposal. You may not publish it, run it as an advertisement or remove its watermark without our written permission. Requesting or receiving a sample does not create a paid order, subscription or obligation to buy.

The material permissions and AI-training provisions apply to samples just as they do to paid work. We may decline a sample if the necessary rights or production requirements cannot be established.

7. Feedback, changes and cancellation

Please give consolidated feedback within the agreed scope. New concepts, products, scenes or deliverables require agreement on any additional fee and schedule before extra work begins. Corrections needed to meet the agreed brief do not consume a revision round.

Late assets, approvals or changes can move the schedule. We will inform you of material delays, including AI-provider outages, and agree a revised plan rather than substitute materially different processing without agreement.

To cancel or pause an order, contact us in writing. The accepted proposal's cancellation and termination terms apply. Where it does not specify them, we will agree the treatment of work already performed, committed third-party costs and any unused prepayment before closing the project. These standard terms do not impose an automatic cancellation penalty or make every payment non-refundable.

8. Product accuracy and approval

AI can alter product shape, proportions, materials, colours, text and fine details. We review the work against the approved references and flag known material deviations. Exact physical simulation or flawless identity across every frame is not guaranteed.

You must check the final film for product accuracy, brand requirements, factual claims and intended use, and approve it in writing before publication. Tell us about errors so we can address them under the agreed scope and applicable remedies. Your approval does not excuse us from delivering the agreed work or correcting defects for which we are responsible.

Do not present AI-generated elements as evidence of a real event or a product capability they do not demonstrate. Required AI disclosures and provider provenance markings must be respected.

9. Rights in the delivered film

After full payment, you receive the commercial usage rights in the accepted proposal, to the extent we can grant them. Unless otherwise agreed, this permits use of the final paid film on your website, social channels and digital advertising without a contractual time limit, subject to third-party licence restrictions disclosed before ordering.

Source files, ownership of music and exclusive rights are not included unless expressly agreed. Your original materials remain yours. Our pre-existing tools and templates remain ours or their respective owners'. Any music, stock or other licensed element remains subject to its disclosed licence.

AI-generated elements may resemble other outputs and may not qualify for copyright protection. We do not guarantee exclusivity or copyright ownership in every generated element. This does not prevent commercial use to the extent permitted by the applicable rights and licences.

10. Publication and portfolio use

We require your separate written approval before publishing your brand, client materials, sample or final film in our portfolio, advertising, case studies, showcases or public AI communities. Approval for production, training or private review is not publicity approval. We will not imply an endorsement that you have not authorised.

11. Retention and deletion

Keep your own copies of delivered files. We do not promise indefinite storage of source files, working versions or deliveries. Any project-specific retention, review-link expiry or deletion commitment must be recorded in the accepted proposal.

Providers may retain uploads, prompts, outputs and operational records under different schedules. Copies, backups and legally required records may remain after a project ends or a deletion request is made. Contact us to request deletion of materials under our control and to discuss provider-side deletion.

We cannot guarantee that deleting a file will reverse the effects of model training already carried out lawfully. Ending a project does not itself undo past authorised processing. Provider licences and their ending conditions remain relevant to previously submitted material. Nothing here limits mandatory personal-data rights.

12. Responsibilities and remedies

We are responsible for performing the agreed production with reasonable care and skill. You are responsible for having the required material permissions, supplying accurate instructions and claims, and using the delivery within the agreed rights. Neither party assumes the other's obligations merely by approving a concept or film.

We do not guarantee advertising performance, sales, platform approval or the availability of a particular AI model. If a problem affects the agreed delivery, contact us promptly so we can investigate and agree an appropriate remedy. Any specific liability limit must be agreed in the project contract; these terms do not create a blanket exclusion of our responsibility or override rights that cannot lawfully be excluded.

13. Governing law, disputes and contact

Unless expressly agreed otherwise, the business contract is governed by Finnish law, subject to any mandatory law that applies. We first seek to resolve disputes by written discussion. If that fails, jurisdiction is determined by the applicable rules unless the project contract contains a valid jurisdiction agreement.
